董事会成员年龄结构老龄化

据咨询公司Heidrick & Struggles发布的Board Monitor Europe报告显示,2023年荷兰顶级公司新任董事会成员的平均年龄为61岁。这一数据较2022年的57.8岁有所上升。其中,AEX指数上市公司(荷兰阿姆斯特丹泛欧交易所的25家最大上市公司)共任命了38位董事会成员,其中一半为首席执行官,13%为首席财务官,8%为首席运营官。

女性成员比例下降

在过去一年中,荷兰公司董事会女性成员的比例下降了10%,从2022年的52%降至2023年的42%。这一比例仅高于波兰(36%)、芬兰(38%)和比利时(39%)。值得一提的是,这是自2020年以来,荷兰AEX上市公司首次任命男性成员多于女性成员。

平均年龄上升的原因

报告指出,2023年新任命的董事会成员中,61%为退休高管,这可能是平均年龄上升的主要原因。而在2022年,这一比例仅为26%。

监事会性别平等取得一定进展

尽管在董事会层面性别平等仍面临挑战,但在监事会层面,荷兰AEX上市公司已取得一定进展。自2022年起,荷兰法律要求上市公司监事会中至少有33%的女性成员。今年,82家AEX上市公司中有73家符合这一要求。目前,监事会层面男女比例几乎相等,其中男性占比53%,女性占比47%。
